The Ministry of Home Affairs is drafting a Government Decree regulating the salary, remuneration and bonus regimes of direct owners' representatives, representatives of State capital and controllers in State-owned enterprises.
Draft Decree regulating the salary, remuneration and bonus regimes of direct owners' representatives and controllers at enterprises in which the State holds 100% of charter capital and representatives of State capital at joint stock companies and limited liability companies with two or more members in which the State holds from 50% to less than 100% of charter capital.
Basic salary is determined based on capital, revenue and profit indicators, including 7 salary levels and divided into 2 groups, including: Group I has 4 levels, applied to corporations and economic groups; Group II has 3 levels applied to independent enterprises.
In which, the highest level of the chairman (level 1 group I) is 80 million VND and the lowest level of the board member and controller (level 3 group II) is 30 million VND/month, according to the provisions of Decree No. 44/2025 of the Government on labor management, salary, remuneration, and bonuses in state-owned enterprises.
The Ministry of Home Affairs proposes that in case the actual profit is not lower than the plan, the maximum salary is not more than 2 times the basic salary (the highest salary for the chairman can reach 160 million VND/month).
For large-scale enterprises with profits much higher than the minimum profit (banking, telecommunications, oil and gas sectors with profits of VND 5,500 billion), holding important positions in the economy but with lower salaries than equivalent positions in the market, the draft continues to stipulate a higher maximum salary as stipulated in Decree No. 44/2025 but with additional salary frames to facilitate enterprises in implementation.
Specifically, the maximum salary is 2.5 times the basic salary (the highest salary for a chairman is 200 million VND/month) if the profit is 2 times higher than the minimum profit (correspondingly, the profit must be 11,000 billion VND).
The maximum salary is 3 times the basic salary (the highest salary for a chairman is 240 million VND/month) if the profit is 3 times higher than the minimum profit (equivalent to a profit of 16,500 billion VND).
The maximum salary is 4 times the basic salary (the highest salary for a chairman is 320 million VND/month) if the profit is 5 times higher than the minimum profit (equivalent to a profit of 27,500 billion VND).
" The regulation of the maximum salary being 4 times the basic salary (the chairman gets 320 million VND/month) is based on Decree No. 44/2025 which has opened a maximum salary framework, so currently, some enterprises have implemented the salary of the chairman at 200 - 210 million VND/month, in particular, there are enterprises in the banking sector with the average salary of board members and controllers at 213 million VND/month, of which the chairman gets 300 million VND/month ", the draft submission stated.
Accordingly, the draft stipulates that the maximum salary is 4 times the basic salary (maximum salary of 320 million VND/month), corresponding to a profit of 27,500 billion VND, which is consistent with the current application of state-owned enterprises.
On the contrary, in case the enterprise makes a loss or has no profit, the maximum salary is equal to 50 - 80% of the basic salary as prescribed in Decree No. 44/2025.
Regarding remuneration, the draft continues to stipulate that non-professional board members and controllers receive a maximum remuneration of 20% of their respective salaries.
Also in the draft Decree, the Ministry of Home Affairs proposed to stipulate that for newly established or newly operating enterprises, the maximum salary in the first year of establishment or operation must not exceed the basic salary.
In the case of a newly established enterprise on the basis of merging enterprises, if the salary level is lower than the actual salary at the highest level of the corresponding positions of the member enterprise before the merger, it shall be calculated at the salary level of those corresponding positions.
Enterprises that only perform public products and services may use the volume of public products and services to evaluate and determine salary levels.
Enterprises that both provide public products and services and conduct production and business activities (in addition to providing public products and services) can choose to determine salary levels based on production and business activities according to regulations.
The salary of council members and controllers who are officers, professional soldiers, defense officials, officers, non-commissioned officers, and people working in secretarial work must not be lower than the salary according to position, title, rank, grade, and salary allowances as prescribed by the Government.
