The shareholders of this bank also delegated and authorized the Board of Directors of HDBank to decide and approve matters regarding HDBank's ownership stake in HD Saison after HD Saison successfully converts its legal form into a joint-stock company, through the conversion plan and other related matters.
HDBank stated that the conversion of its legal form is aimed at aligning with HD Saison's long-term expansion and development strategy. This will strengthen its financial capacity, facilitate its listing plans, capital raising efforts, and investor attraction, while also enhancing transparency and efficiency in governance.

Previously, the bank conducted a written shareholder consultation on the matter, with an approval rate of 81.82%. HD Saison Finance Company Limited currently has a charter capital of VND 2,350 billion, of which HDBank holds 50%.
For the first nine months of the year, HDBank's business operations recorded positive results with credit growth of 22.6%, pre-tax profit of VND 14,803 billion (up 17%), non-interest income of VND 5,366 billion (up 178.6%), ROE of 25.2%, ROA of 2.1%, and CIR of 25.7%. Regarding member companies, in the first nine months of the year, HD Saison achieved a profit of VND 1,100 billion (ROE 24.4%); HD Securities achieved a profit of VND 614 billion (up 30%, leading the industry in ROE); and Vikki Bank became profitable after seven months of transformation.
With the profit outlook following the first nine months, the management stated that the bank aims for a profit of over VND 21,000 billion in 2025, expecting a compound annual growth rate (CAGR) of 25-30% for profits during the 2025-2030 period. Member companies also set growth plans, with HD Saison projecting a 15-16% increase in outstanding loans and a profit target of VND 1,500 billion; HD Securities aims for VND 1,000 billion in profit.
Following the recent distribution of nearly 181 million bonus shares to shareholders and the issuance of nearly 965 million shares to pay dividends to 29,637 employees, HDBank's charter capital has increased to over 50,000 billion VND.
