OpenAI has secretly filed its S-1 filing with the U.S. Securities and Exchange Commission (SEC). This is the first official step for the company behind ChatGPT toward an initial public offering (IPO). Filing the filing does not mean OpenAI will list immediately. The company says it has not yet finalized an IPO date. However, this move opens up the possibility of the company entering the stock market sooner if conditions are right.
“We haven’t decided on a timing yet,” OpenAI said in a June 8 announcement. The company added that some things might be easier to do while still being a private company. However, filing for IPO gives OpenAI more options if an IPO proves to be the best course of action.
According to Axios, OpenAI is working with Goldman Sachs and Morgan Stanley on an IPO that could happen as early as the fall. However, discussions are subject to change. The company has not yet announced the size of the offering, the expected share price, or the target exchange.
The filing was submitted confidentially. Therefore, important information has not been made public. This list includes financial data, executive compensation, business risks, and details that typically appear in a full IPO filing.
OpenAI's move comes just a week after Anthropic filed a confidential S-1 filing with the SEC. Anthropic is the company behind Claude and one of OpenAI's biggest rivals. The company has also not yet announced the number of shares it plans to offer or the price.
The successive emergence of OpenAI and Anthropic shows that competition in the AI industry has expanded into the capital market. AI companies need massive amounts of money to buy chips, lease computing infrastructure, and build data centers. This is a necessary investment for developing next-generation AI models.
According to The Verge , Anthropic is valued at $965 billion after its latest funding round. This surpasses OpenAI's valuation of $852 billion , making the IPO race between the two companies even more closely watched.
An IPO could help OpenAI raise more capital and provide liquidity for investors. However, the company will also have to accept new pressures. Upon listing, the AI giant will have to disclose more financial data and be subject to close scrutiny from the public.
