From July 1, 2025, the two-level local government apparatus will come into operation, and district-level administrative units (including districts, towns, and provincial cities) will cease to operate. Instead, the tasks and powers of this level will be transferred to the provincial and communal levels. This change is not simply a rearrangement of administrative boundaries but also has a profound impact on business operations. Many concerns have been raised about legal procedures, especially the change of business registration certificates, when the business address may no longer match the old administrative unit. Along with that, areas such as tax, customs, licensing, and the treasury system are also expected to have adjustments to suit the new organizational structure.

In response to concerns of enterprises, on April 5, 2025, the Ministry of Finance issued Official Letter No. 4370/BTC-DNTN providing guidance on business registration in case of changes in administrative boundaries. This is good news and brings significant peace of mind to business units. According to the guidance of the Ministry of Finance, enterprises, business households, cooperatives, cooperative unions and cooperative groups are allowed to continue using the types of registration certificates previously issued. Business registration agencies are not allowed to require enterprises to register changes in address information due to changes in administrative boundaries. This means that updating address information on business licenses is not mandatory. Enterprises can choose to update address information due to changes in administrative boundaries when needed, or do so at the same time as registering changes, notifying changes to any other content in the license.
To ensure smooth and effective business registration, the Department of Private Enterprise and Collective Economy Development recently issued a document requesting the Department of Finance of provinces and cities to direct business registration agencies to proactively study and grasp new regulations on enterprise, cooperative and household business registration to guide people in carrying out procedures for enterprise, cooperative and household business registration. At the same time, promptly report any problems and difficulties arising in the process of implementing the issuance of enterprise, cooperative and household business registration from July 1, 2025 to the Department of Private Enterprise and Collective Economy Development for support in resolving them in accordance with the law.
Currently, the Ministry of Finance is also drafting a decree on business registration, submitting it to the Government for consideration, promulgation and taking effect in July 2025, including regulations on receiving dossiers and returning business household registration results regardless of administrative boundaries within the province.

To prepare for the operation of the two-level local government model, before the merger takes effect, the Dak Lak Department of Finance has also requested localities to arrange, store and hand over registration records of cooperatives, cooperative groups, and business households to the new commune level, including reviewing, classifying, making a detailed list (with full information, operating status) and digitizing missing records. The handover must ensure accuracy and completeness for easy management at the commune level.
Although all levels and sectors have provided timely guidance on business registration, in the short term, this transition may still pose many challenges for businesses in adapting to changes related to administrative procedures at different levels. To avoid disruptions in operations and ensure compliance with the law during the transition period, experts say that businesses need to proactively grasp information and update new regulations from state management agencies. Proactively learning and adapting will help businesses overcome this adjustment period, ensuring smooth production and business activities.
