VNPT-Vinaphone and VNPT-Media will be merged into VNPT.

The government has just issued Resolution No. 186/NQ-CP dated June 25, 2025, merging the Telecommunications Services Corporation and the Communications Corporation into the Parent Company - Vietnam Post and Telecommunications Group (VNPT Group).

The Government agrees with the proposal of the Ministry of Finance in Report No. 245/TTr-BTC dated May 29, 2025, regarding the application of the provisions of Government Decree No. 23/2022/ND-CP on the establishment, restructuring, ownership transformation, and transfer of ownership representation rights in enterprises with 100% state-owned capital to restructure the subsidiaries of Vietnam Post and Telecommunications Group (VNPT Group) by merging the Telecommunications Services Corporation (VNPT-Vinaphone) and the Communications Corporation (VNPT-Media) into the parent company - VNPT Group.

Specifically, regarding authority: The Board of Members of VNPT Group decides on the merger of VNPT-Vinaphone and VNPT-Media into the parent company VNPT after the Prime Minister approves the merger plan based on the proposal of the Ministry of Finance (the representative body of the owner of VNPT Group).

The sequence, procedures for mergers, and related matters.

Within three days of the issuance of this Resolution, based on the dossier submitted by VNPT Group and received from the former State Capital Management Committee at Enterprises, the Ministry of Finance shall finalize the submission to the Prime Minister for approval of the merger policy; be responsible for the dossier and the submission to the Prime Minister; and supervise the implementation of the aforementioned merger to ensure the efficient use of state capital invested in the enterprise.

The Board of Members of VNPT Group decided to merge VNPT-Vinaphone and VNPT-Media into the parent company - VNPT, ensuring compliance with the documents and plans submitted to the Ministry of Finance, guaranteeing a streamlined, effective, and efficient organizational structure, continuous operation of the enterprise throughout the merger process, and improved capital utilization efficiency; and is responsible for the proposal and the effectiveness of the restructuring and merger.

The implementation of enterprise merger procedures must comply with the provisions of enterprise law, the law on the management and use of state capital invested in production and business in enterprises, and other relevant laws.

This resolution takes effect from the date of signing (June 25, 2025).
