According to Novaland 's issuance plan, the company currently has over 2.2 million shares outstanding. The company plans to issue an additional 167,587,235 shares, equivalent to more than 1,600 billion VND (based on par value).

The rights exercise ratio is 40:3. This means that on the last registration date to exercise the rights, a shareholder owning 1 share will be entitled to 1 right. A shareholder owning 40 rights will receive an additional 3 new shares.
According to Novaland, the capital for the issuance will come from the share capital surplus based on the company's audited separate financial statements for 2025.
Regarding the handling of fractional shares, the number of shares issued to increase share capital from equity for existing shareholders will be rounded down to the nearest whole number.
Any fractional shares resulting from rounding (if any) will be canceled.
Novaland's planned issuance of over 167 million shares comes as the company is seeking input from holders of its outstanding international convertible bonds with an interest rate of 5.25% maturing in 2027.
Accordingly, Novaland proposed amending several clauses in the bond contract and requested an exemption related to some payments that have been and will not be made.
According to the approved proposals, consent from bondholders representing at least 66% of the total outstanding face value is required. Bondholders will vote to agree or disagree with the proposed amendments, and these votes cannot be revoked.
The deadline for comments is June 4th, London time. If the approval rate is not reached, Novaland may extend the comment period by up to 5 working days.
