Recently, the Ministry of Finance issued Official Dispatch 4370/BTC-DNTN guiding business registration in case of changes in administrative boundaries.
Accordingly, the Ministry of Finance affirms that enterprises, business households, cooperatives, cooperative unions, and cooperative groups can continue to use the Certificate of Enterprise Registration, Certificate of Business Household Registration, Certificate of Cooperative Registration, Certificate of Cooperative Group Registration, and Certificate of Registration of Branch/Representative Office/Business Location that have been issued.

Business registration agencies are not allowed to request enterprises, business households, cooperatives, cooperative unions, and cooperative groups to register changes in address information due to changes in administrative boundaries.
Enterprises, business households, cooperatives, cooperative unions, and cooperative groups update information about their addresses due to changes in administrative boundaries on the Business Registration Certificate, Business Household Registration Certificate, etc. when needed or at the same time when registering changes or notifying changes to other contents.
In short, businesses are not required to change information on the Business Registration Certificate but can do so as needed.
Instructions for procedures to change business address when merging provinces and cities
According to Article 28 of the Enterprise Law 2020, the head office address of an enterprise is one of the information shown on the Enterprise Registration Certificate. In which, Clause 1, Article 20 of the Enterprise Law 2020 stipulates: "An enterprise must register with the business registration authority when changing the contents of the Enterprise Registration Certificate as prescribed in Article 28 of this Law".
Thus, when there is a change in administrative boundaries that changes the head office address, the enterprise must carry out procedures to update and supplement information in the business registration dossier according to the provisions of Article 63 of Decree 01/2021/ND-CP as follows:
Prepare documents
Enterprises prepare a set of documents including:
- Notice of request to update and supplement business registration information.
- In case the owner or legal representative of the enterprise does not directly submit the application, the authorized person must submit a power of attorney with a valid copy of one of the following personal identification documents:
For Vietnamese citizens: Valid Citizen Identification Card or National Identity Card or Vietnamese Passport.
For foreigners: Valid foreign passport or document in lieu of a valid foreign passport.
Where to apply
Businesses submit applications by one of two methods:
- Submit at the One-stop Department of the Business Registration Office under the Department of Finance (Business Registration Office) of the province/city where the enterprise has its head office;
- Submit application online via the National Business Registration Portal (For Hanoi and Ho Chi Minh City, online submission is required).
Processing time: 3 working days from the date of receipt of complete documents.
