Regal Group was fined and ordered to pay back taxes totaling over 1.27 billion VND.

Regal Group Joint Stock Company (RGG - UPCoM code) has been fined for making false declarations resulting in underpayment of value-added tax and corporate income tax over several tax periods.

Regal Group announced that it has received a decision from the tax authorities imposing administrative penalties for tax violations, with the total amount of back taxes, fines, and late payment penalties exceeding 1.27 billion VND.

In addition, Regal Group stated that it has completed the payment of the full amount of back taxes, fines, and late payment penalties to the State Treasury.

It is known that Regal Group violated regulations by making false declarations resulting in a shortfall in value-added tax payable for the tax periods of March 2021, July 2021, June 2022, October 2022, December 2022, and December 2023, amounting to nearly VND 646.6 million; and by making false declarations resulting in a shortfall in corporate income tax payable for the tax periods of 2021, 2022, and 2023, totaling over VND 155.5 million.

In terms of business performance, in Q4 2025, Regal Group recorded a 67.3% increase in revenue compared to the same period last year, reaching VND 268.2 billion; after-tax profit decreased by 47.7%, to VND 61.53 billion. Specifically, the gross profit margin decreased from 118.2% to 48.2% (the gross profit margin in Q4 2024 was 118.2% due to negative cost of goods sold).

During the period, despite increased revenue, due to a decrease in gross profit margin, Regal Group's gross profit still decreased by 31.7% compared to the same period last year, equivalent to a decrease of VND 60.06 billion, to VND 129.39 billion.

Additionally, during the same period, financial expenses decreased by 62.8% compared to the same period last year, equivalent to a decrease of VND 9.67 billion, to VND 5.72 billion; selling and administrative expenses increased by 87.4%, equivalent to an increase of VND 29.84 billion, to VND 63.99 billion.

Thus, in the fourth quarter, in addition to a sharp decline in gross profit, Regal Group also faced pressure from increased selling and administrative expenses, resulting in a 47.7% decrease in net profit.

For the full year 2025, Regal Group recorded revenue of VND 713.05 billion, an increase of 16.9% compared to the same period; and after-tax profit of VND 147.17 billion, a decrease of 18.5% compared to the previous year.

In terms of asset size, as of December 31, 2025, Regal Group's total assets increased by 11.5% compared to the beginning of the year, equivalent to an increase of VND 546.1 billion, reaching VND 5,293.2 billion. Of this, recorded assets included VND 3,685.4 billion in inventory, accounting for 69.6% of total assets; VND 1,280.9 billion in short-term receivables, accounting for 24.2% of total assets; and VND 176 billion in cash and cash equivalents, accounting for 3.3% of total assets.

Furthermore, regarding capital sources, by the end of 2025, total short-term and long-term debt increased by 2.9% compared to the beginning of the year, equivalent to an increase of VND 39.2 billion, reaching VND 1,396.3 billion and representing 55.4% of total equity. Of this, short-term debt was VND 750.2 billion and long-term debt was VND 646.1 billion.

Notably, the salaries and income of the Board of Directors and the General Management Board in 2025 increased by 313.5%, from VND 3.85 billion to VND 15.92 billion. Specifically, General Director Tran Ngoc Thanh's salary increased from VND 0.86 billion to VND 9.34 billion; Mr. Tran Ngoc Thai, Deputy General Director of Investment and Land Development, increased from VND 0.96 billion to VND 2.63 billion; Mr. Pham Van Vien, Deputy General Director of Operations, increased from VND 0.79 billion to VND 1.29 billion; and Mr. Le Ngoc Hoang, Chief Accountant, increased from VND 0.49 billion to VND 1.27 billion…

Regarding the stock, despite being listed on UPCoM from October 30, 2025, RGG shares maintained very low liquidity, closing the trading session on March 2nd at the reference price of 33,500 VND/share, corresponding to a market capitalization of 6,700 billion VND.
