Some things to know about transport contracts.

A written contract for the transportation of passengers and goods (either in paper or electronic form) is an agreement between the parties involved in signing the contract.

According to Article 17 of Decree No. 158/2024/ND-CP dated December 18, 2024, regulating road transport activities, a written contract for the transport of passengers and goods (paper or electronic contract) is an agreement between the parties involved in signing the contract. Accordingly, the transport business unit carries out the transportation of passengers, luggage, and goods to the agreed-upon location, and the passenger or the person hiring the transport must pay the transport fee.

Clause 2, Article 17 of Decree No. 158/2024/ND-CP stipulates that passenger and cargo transport contracts must contain at least the following information: Information about the transport business unit signing the contract: name, address, telephone number, tax code, representative signing the contract (name, personal identification number (citizen ID number); information about the passenger or the transport hirer (organization or individual): name, personal identification number (citizen ID number), address, telephone number; information about contract execution: start time (date, time) and end time of the contract; address of the starting point, address of the ending point and points for picking up and dropping off passengers (or loading and unloading goods) along the transport route; distance of the transport route (km); number of passengers (or volume of goods transported); information about the contract value and payment method; regulations on the responsibilities of the parties involved in the transport contract, including the fulfillment of obligations. Taxes payable to the state; rights and obligations of the carrier, passengers, or charterer; contact telephone number for receiving and resolving passenger complaints and grievances; commitment to contractual responsibility and provisions for compensation for damages to charterers and passengers.

The minimum content of passenger and freight transport contracts is used in state management of transport activities, provided to competent authorities; and provided to price management agencies, tax authorities, police, and road inspectors upon request.

Regulations on the implementation of transportation contracts using electronic contracts.

According to Article 18 of Decree No. 158/2024/ND-CP, the implementation of transportation contracts via electronic contracts is regulated as follows:

- Transportation contracts signed electronically shall comply with the general regulations on transportation contracts and other relevant legal provisions.

- Transportation businesses using electronic contracts must have a software interface for passengers or those hiring transportation that fully displays the name or logo, emergency contact phone number of the transportation business, and other minimum required information. They must send the minimum content of the passenger/goods transportation contract and the electronic invoice for the trip to the contract account of the passenger/hirer and the Tax authority as required, and store the electronic contract data for a minimum of 3 years.

- Drivers engaged in passenger transport using electronic contracts must comply with regulations; they are responsible for providing relevant information to authorities upon request.

- Transport hirers and passengers entering into electronic contracts must use devices to access the software interface that displays the entire content of the electronic contract, and when signing electronic contracts with transport businesses, they must comply with the provisions of the Civil Code.
