According to Samsung, the name of the partner cannot be disclosed before the end of 2033 due to a request from the second party to “protect trade secrets”.

“Since the key terms of the agreement have not been disclosed due to the need to maintain trade secrets, investors should carefully consider the possibility of modifying or terminating the agreement,” the company wrote in the filing.

Samsung's foundry business manufactures chips based on designs provided by other companies. It is the second-largest chip foundry globally, after TSMC.

Samsung expects second-quarter profit to fall by more than half, an analyst previously told CNBC, citing weak foundry orders and the memory business’s struggles to meet AI demand.

The company has lagged behind competitors SK Hynix and Micron in high-bandwidth memory (HBM) chips — an advanced type of memory used in AI chipsets.

SK Hynix, a leader in the HBM field, has become the main HBM supplier for Nvidia's AI chips.
