According to the Ministry of Home Affairs , the regulation of a maximum salary of 320 million VND, 4 times the basic salary, with the condition that the enterprise must achieve a profit of 27,500 billion VND, is consistent with the reality of state-owned enterprises.
The Ministry of Justice is appraising the Draft Decree on salary, remuneration and bonus regimes of direct owners, representatives of State capital and controllers in State-owned enterprises of the Ministry of Home Affairs.
This Decree is expected to take effect from August 1, 2025 and replace Decree No. 44/2025/ND-CP dated February 28, 2025 of the Government regulating the management of labor, wages, remuneration, and bonuses in state-owned enterprises.
Draft Decree regulating the salary, remuneration and bonus regimes of direct owners' representatives, Controllers at enterprises in which the State holds 100% of charter capital and representatives of State capital at joint stock companies and limited liability companies with two or more members in which the State holds from 50% to less than 100% of charter capital.
The subjects of application of the draft decree include: Direct representatives of owners; Head of the Board of Supervisors, Supervisors at enterprises in which the State holds 100% of charter capital; Representatives of State capital in joint stock companies, limited liability companies with two or more members in which the State holds from 50% to less than 100% of charter capital; and owner representative agencies.
Regarding the principles of salary, remuneration and bonus implementation, the draft regulations ensure compliance with the provisions of Law No. 68/2025/QH15, in which the direct owner's representative, Controller, and full-time capital representative shall receive salary and bonus paid by the enterprise; the direct owner's representative, Controller, and part-time capital representative shall receive salary and bonus paid by the owner's representative agency and receive remuneration paid by the enterprise.
Salaries and remuneration paid by enterprises are included in the enterprise's salary fund, which includes provisions on objective factors that directly affect profits when determining salaries to ensure that salaries and remuneration are linked to the actual production and business efficiency of the enterprise. These objective factors are fully inherited from the objective factors stipulated by the Government in Decree No. 44/2025/ND-CP.
Maximum salary 320 million VND/month
Regarding salary, the draft stipulates that Board members and Supervisors receive basic salary and additional salary based on production and business performance, decided by the enterprise after consulting with the owner.
Accordingly, the basic salary is determined based on capital, revenue and profit indicators, including 7 salary levels, divided into 2 groups: Group I includes 4 salary levels applied to corporations and economic groups; Group II includes 3 salary levels applied to independent enterprises (the draft Decree removes level 4 in Decree No. 44/2025/ND-CP to suit the process of arranging and improving the operational efficiency of state-owned enterprises), in which the highest level of the Chairman (level 1 group I) is 80 million VND and the lowest level of the Board member, Controller (level 3 group II) is 30 million VND/month as prescribed in Decree No. 44/2025/ND-CP.
The draft also stipulates that the salary level is linked to the actual profit of the enterprise (this content is different from Decree No. 44/2025/ND-CP which stipulates that the planned salary level is determined based on the profit and profit margin of the previous year) and removes the regulation linking the profit margin to the capital ratio because Law No. 68/2025/QH15 stipulates that salary is linked to the production and business efficiency of the enterprise, not stipulating salary is linked to the efficiency of capital use as in Resolution No. 27-NQ/TW.
If the realized profit is not lower than the plan, the maximum salary will not exceed 2 times the basic salary (the highest for the Chairman can reach 160 million VND/month). If the realized profit exceeds the plan, the salary will be calculated at no more than 20% as prescribed in Decree No. 44/2025/ND-CP.
For large-scale enterprises with profits much higher than the minimum profit (banking, telecommunications, oil and gas sectors with profits of VND 5,500 billion) but with salaries lower than equivalent positions in the market, the draft continues to stipulate a higher maximum salary as prescribed in Decree No. 44/2025/ND-CP but adds salary brackets to facilitate enterprises in implementation, specifically the maximum salary is: 2.5 times the basic salary (the highest Chairman reaches VND 200 million/month) if the profit is 2 times higher than the minimum profit (correspondingly must reach a profit of VND 11,000 billion); 3 times the basic salary (the highest Chairman reaches VND 240 million/month) if the profit is 3 times higher than the minimum profit (correspondingly must reach a profit of VND 16,500 billion); 4 times the basic salary (the highest Chairman is 320 million VND/month) if the profit is 5 times higher than the minimum profit (correspondingly must reach a profit of 27,500 billion VND).
According to the Ministry of Home Affairs, the regulation of the maximum salary equal to 4 times the basic salary (Chairman reaches 320 million VND/month) is based on Decree No. 44/2025/ND-CP, in which Decree No. 44/2025/ND-CP has opened the maximum salary frame (no specific limit), so currently, some enterprises have implemented the salary of the Chairman of 200-210 million VND/month, in particular, there are enterprises in the banking sector with the average salary of Board members and Controllers of 213 million VND/month, of which the Chairman reaches 300 million VND/month.
The Ministry of Home Affairs believes that the draft stipulates a maximum salary of 4 times the basic salary (maximum salary of 320 million VND/month), corresponding to a profit of 27,500 billion VND, which is consistent with the current practice of state-owned enterprises.
For loss-making or unprofitable enterprises, the draft stipulates a maximum salary of 50%-80% of the basic salary as prescribed in Decree No. 44/2025/ND-CP./.
