Capital increase excitement

Charter capital is one of the important criteria that determines the level of safety in operations as well as the ability to develop sustainably of banks in the future. According to statistics in 2024, the entire banking industry had 11 banks increasing their charter capital. By the end of 2024, the total charter capital of 28 banks increased by 15% compared to the beginning of the year, to more than VND 822,000 billion.

Entering early 2025, a series of banks continue to plan to increase charter capital through various forms. According to experts, the capital increase of banks is on the one hand to ensure the capital adequacy ratio (CAR) according to the regulations of competent authorities, aiming to meet international standards, ensuring the sustainable development of banks in the future. In addition, there is also the factor from the goal of promoting the whole industry's credit growth for the whole year to 16%, to support capital flow for the economy in the context of the Government setting a GDP growth target of 8% or more in 2025, striving for double-digit economic growth in the period of 2026-2030. In which, credit capital plays an extremely important role.

Not outside the capital increase trend, recently, NCB's 2025 Annual General Meeting of Shareholders approved the proposal to continue increasing charter capital from the current nearly VND 11,800 billion to more than VND 19,200 billion. The capital increase will be implemented through the private offering of 750 million shares at an offering price of no less than VND 10,000/share. The expected issuance time is from the second quarter to the fourth quarter of 2025, after being approved by competent authorities.

Increase capital for safe and sustainable development

It is expected that the entire amount of about 7,500 billion VND raised from the offering will be used to supplement capital for credit activities for corporate and individual customers serving production, business and consumption. From there, it will not only contribute to promoting credit growth of the banking system, providing capital for the economy in accordance with the goals set by the Government , but also contribute to improving financial capacity to serve the implementation of NCB's dual goals, speeding up and strengthening the restructuring of the bank and at the same time comprehensively transforming according to the new strategy "Digital Wealth" - a combination of asset management and digital hybrid services.

If successfully implemented, this will be the third capital increase in 4 consecutive years (2022 - 2025) of this bank. Previously, on September 14, 2022, NCB officially increased its capital from more than VND 4,100 billion to more than VND 5,600 billion. On November 26, 2024, NCB completed the issuance of 617.8 million individual shares at an offering price of VND 10,000/share, raising its charter capital to VND 11,780 billion, strongly supplementing resources for breakthroughs in digital transformation and the bank's business operations.

According to NCB leaders, in addition to the goal of promoting business, increasing charter capital demonstrates NCB's determination to improve the safety level in the bank's operations as well as NCB's ability to develop sustainably, meeting development goals in the coming period.

“Increasing charter capital not only helps the bank expand its scale of operations, improve its financial capacity, increase its competitiveness and resilience to market risks, but also plays a key role in helping NCB successfully implement the restructuring plan for the period 2023-2025, with a vision to 2030, which has been approved by competent authorities. According to the roadmap, NCB will continue to increase its capital and it is expected that the bank's charter capital will reach more than VND 29,000 billion by 2028, consolidating financial resources, increasing medium- and long-term capital to expand business operations, making NCB one of the most prestigious, healthy, and efficient banks, providing the best financial services and solutions on the market,” said an NCB representative.

In addition to completing the increase in charter capital by nearly VND 6,200 billion, 2024 also witnessed many outstanding achievements of NCB as it was the first credit institution to complete the construction and approval of the restructuring plan according to the "Project on restructuring the system of credit institutions associated with bad debt settlement for the period 2021-2025" according to Decision 689/QD-TTg of the Prime Minister and guidance of the State Bank.

With a clear roadmap, comprehensive solutions, high determination of the whole system and under the comments and supervision of the State Bank and functional agencies, NCB said it is responding well to the comprehensive restructuring process. NCB is also the first bank to deploy opening payment accounts directly from the VNeID application, contributing to the national digital transformation process and bringing a convenient and superiorly safe banking experience to the community.
