The Draft Decree on the salary, remuneration and bonus regime for representatives of direct owners, representatives of state capital and controllers in state-owned enterprises (to be issued to implement the Law on Management and Investment of State Capital in Enterprises - Law No. 68/2025/QH15), is being appraised by the Ministry of Justice . This Decree is expected to take effect from August 1, 2025; replacing Decree No. 44/2025/ND-CP dated February 28, 2025.
Regarding the scope of regulation and subjects of application, the new draft decree only focuses on regulating the salary, remuneration and bonus regimes of direct owners, representatives of state capital and controllers in state-owned enterprises, narrower than the current one. The draft also no longer regulates the general salary fund of enterprises.
The basis for determining wages, according to the draft, is linked to the actual profits made by the enterprise (eliminating the regulation linked to the profit margin on capital). The maximum wage framework is regulated in more detail and has a higher ceiling for large enterprises with high business efficiency.
For example, if the realized profit is 2 times higher than the minimum profit (as prescribed in the attached appendix): the maximum salary is 2.5 times the basic salary (the highest Chairman can reach 200 million VND/month). If the realized profit is 3 times higher than the minimum profit: the maximum salary is 3 times the basic salary (the highest Chairman can reach 240 million VND/month).
If the realized profit is 5 times or more higher than the minimum profit: the maximum salary is 4 times the basic salary (the highest salary for a chairman can reach 320 million VND/month).
The regulation of a maximum salary of up to 4 times the basic salary (VND 320 million/month) is considered suitable to the current practice of some large state-owned enterprises in the banking sector, where some chairmen have reached a salary of VND 300 million/month.
