The Decree consists of 6 chapters and 63 articles, regulating many important contents such as: scientific integrity, professional ethics in research, activities of scientific journals, assessment of strategies, policies, plans and science and technology programs, and digital transformation in research and innovation activities.
In addition, the Decree also guides the establishment, reorganization, and dissolution of public science and technology organizations, recognizes research and development centers, and clearly regulates scientific and technological information and statistics activities.
The subjects of application are organizations and individuals operating in the field of science, technology and innovation in Vietnam, along with relevant state management agencies.
Conditions for establishing scientific and technological organizations
According to regulations, an organization can only be established when it meets three main groups of conditions:
Organization and operation charter: clearly stipulates the name, objectives, functions, fields, organizational structure and operating mechanism; the organization name must be easy to read, not confusing, and in accordance with good customs and traditions.
Scientific staff: at least 5 full-time employees, of which 30% have relevant expertise; research organizations must have at least 1 PhD in each registered field. The head of the organization must have a university degree or higher, and have management capacity; for public institutes, a PhD is required.
Facilities: have ownership or legal right to use headquarters, laboratories, equipment and intellectual property, ensuring adequate research conditions.
Transparent establishment procedures, shortening processing time
Decree 262/2025 also standardizes records and processing procedures for foreign-invested or non-public science and technology organizations.
The dossier includes an application, a document confirming the legal status of the investor, the scientific resume of the head, a draft charter, an audited financial report and documents proving human resources and material facilities.
Foreign language documents must be translated into Vietnamese and consular legalized.

The resolution process is simplified and clear.
Within 5 working days, the Provincial People's Committee will send a document to solicit opinions from relevant ministries and agencies.
Within 10 days, the agencies must respond in writing.
Within 35 days, the Provincial People's Committee shall consider and decide to permit the establishment and approve the operating charter.
If not approved, the People's Committee must notify in writing, stating the reasons.
After being licensed, within 60 days, foreign-invested organizations must complete the registration procedure for certification of operation at the competent state agency.
For non-public organizations, individuals or organizations have the right to decide on their establishment according to current law provisions.
Strengthening the legal foundation
This Decree takes effect from the date of signing and promulgation (October 14, 2025).
The issuance of Decree 262/2025 is considered an important step in perfecting the institution in implementing the Law on Science and Technology, along with digital transformation and innovation, creating a unified legal corridor for the domestic and international research and development system.
The Decree helps standardize operating conditions, ensure transparency, responsibility and quality of science and technology organizations, and lays the foundation for the goal of making science, technology and innovation a key driving force for socio-economic development.
