Specifically, Techcombank plans to increase its charter capital through the issuance of shares under the employee stock option program (ESOP). The bank plans to issue nearly 21.4 million ESOP shares, equivalent to a ratio of more than 0.3%, at an issuance price of VND10,000/share. The total issuance value at par value is nearly VND214 billion.
The expected issuance time is in the third or fourth quarter of 2025, after the State Securities Commission announces receipt of full documents reporting the issuance of shares according to the program.
If the issuance is successful, Techcombank's charter capital will increase from nearly VND70,649 billion to more than VND70,862 billion. The total amount raised from this ESOP issuance will be used to supplement the bank's operating capital. Techcombank said that the increase in charter capital will enhance its capacity to ensure high capital safety ratios in the bank's operations, and increase medium and long-term capital to serve credit growth needs.

Meanwhile, VIB will pay a cash dividend of 7%, issue bonus shares to existing shareholders at a rate of 14% and issue 7.8 million ESOP shares. At that time, VIB 's charter capital will increase from over VND29,791 billion to over VND34,040 billion, corresponding to a capital increase rate of 14.26%.
All additional capital will be used by VIB to serve business operations, boost credit granting, invest in liquid assets, invest in facilities, technology infrastructure, expand branch network... This bank aims to achieve pre-tax profit of VND 11,020 billion in 2025, an increase of 22% compared to the level achieved in 2024.
According to Nam A Bank's charter capital increase plan in 2025, the bank plans to increase by more than VND4,200 billion, raising its charter capital from more than VND13,700 billion to more than VND18,000 billion. This capital increase will be carried out through issuing shares from equity capital and issuing ESOP shares.
In particular, regarding the plan to issue shares to pay dividends, this bank will issue more than 343.1 million shares, equivalent to 25% from equity capital. This activity contributes to increasing Nam A Bank's charter capital by more than VND3,431 billion.
Regarding the ESOP plan, Nam A Bank plans to issue 85 million shares, increasing its charter capital by VND850 billion. The issuers are the bank's employees. In addition, the issuance of ESOP shares will be carried out after Nam A Bank has completed paying dividends in shares.
The above capital increase aims to implement Nam A Bank's strategic development orientation to 2025, with a vision to 2030. At the same time, it enhances financial capacity to meet the requirements of business development and risk management, linking the interests of employees with the bank's operating results.
In addition, Nam A Bank also submitted a plan to issue individual convertible bonds of up to VND2,000 billion, with the expected issuance volume of 20,000 bonds to increase the scale of operating capital, supplement medium and long-term capital to serve credit needs as well as attract domestic and foreign investors.
This year, OCB continues to plan to increase its charter capital by issuing shares to increase capital from equity (bonus shares). Specifically, the Bank plans to issue 197.2 million shares to existing shareholders, equivalent to 8%. Accordingly, OCB's charter capital will increase from VND24,657 billion to VND26,630 billion.
Previously, OCB often used profits to issue shares to increase charter capital. In 2024, the Bank increased its capital from VND 20,548 billion to nearly VND 24,658 billion through issuing shares to pay dividends. However, the plan to issue ESOP shares and issue individual shares has not been implemented due to unsuitable market conditions.
Dr. Nguyen Tri Hieu, a banking expert, said that the need to increase charter capital of banks comes from the need to increase risk reserve ratio, increase medium and long-term capital, promote investment in technology, especially improve the CAR ratio. In particular, increasing the issuance of ESOP shares is also one of the solutions to help banks retain talented people, stay with the organization, and increase financial strength.
