According to data from the national business registration system, CER Group Joint Stock Company was established in November 2024, headquartered in Thu Duc City (HCMC).

When it was first established, CER Group had a charter capital of 5 billion VND with 6 founding shareholders, including: Ms. Nguyen Thi Thai Hang (Hang Du Muc) contributed 25% of the capital; Mr. Le Thanh Cong contributed 19% of the capital, Mr. Le Tuan Linh contributed 15%; Mr. Pham Quang Linh (Quang Linh Vlogs) contributed 13.67%...

Notably, the above list does not include the name of Ms. Nguyen Thuc Thuy Tien (Miss Thuy Tien).

However, according to the Ministry of Public Security's Investigation Police Agency (C01), Kera Vegetable Candy dietary supplement is a product of Nguyen Thuc Thuy Tien and shareholders of Chi Em Rot Company in cooperation.

In which, Miss Thuy Tien enjoys profits according to the capital contribution agreement, equivalent to 30%, the remaining shareholders contribute 70% of the shares.

The police determined that Chi Em Rot Company sold more than 135,000 boxes of Kera candy with a total revenue of nearly 18 billion VND, and Nguyen Thuc Thuy Tien alone was paid a commission of nearly 7 billion VND.

Miss Thuy Tien has been prosecuted and detained by authorities to investigate her behavior of deceiving customers because of her involvement in a case of counterfeit goods production.

Regarding Miss Thuy Tien, many people asked why she contributed capital but her name was not on the list of founding shareholders of CER Group?

Speaking to a reporter from Nguoi Lao Dong Newspaper , lawyer Bui Thi Anh Tuyet (Ho Chi Minh City Bar Association) said that based on the 2020 Enterprise Law and Decree No. 01/2021/ND-CP on business registration, it is stipulated that a founding shareholder is a shareholder who owns at least one common share and signs the list of founding shareholders of a joint stock company.

At the same time, when registering for establishment, it is necessary to sign and submit a list of founding shareholders to the business registration agency. Therefore, the national business registration portal only displays the initial list of founding shareholders.

In addition, according to the Enterprise Law, within 3 years from the date the company is granted a certificate of business registration, common shares of founding shareholders are freely transferable to other founding shareholders and can only be transferred to persons who are not founding shareholders if approved by the General Meeting of Shareholders.

Accordingly, this information will not be displayed on the national registration portal but will only be kept internally by the company.

According to Lawyer Tuyet, based on Nguyen Thuc Thuy Tien's testimony at the investigation agency, around December 2024, this beauty queen only participated in the company's activities after the first livestream sales session and then the company's charter capital changed.

Therefore, Nguyen Thuc Thuy Tien can be considered not to be a founding shareholder of CER Group. This beauty queen's capital contribution most likely took place during the period when the company increased its charter capital from 5 billion VND to 15 billion VND, after only one month of operation.

Before participating in Sisters of the Basket, Miss Thuy Tien invested in Pharco Vietnam Joint Stock Company, established in 2021 in Hanoi - the owner and exclusive distributor of Adopt' perfume in the Vietnamese market.

At the time of establishment, Pharco Vietnam had a charter capital of 4 billion VND, of which Thuy Tien contributed 400 million VND, equivalent to 10% of the contributed capital.

At the time she was appointed as the president of the perfume distribution company, Thuy Tien was only 23 years old and had not yet been crowned Miss Grand International 2021.
