As reported by Tuoi Tre Online , Mr. Pham Nhat Vuong - Chairman of Vingroup's Board of Directors - has just registered to transfer ownership of more than 48 million VIC shares, equivalent to about 1.2% of the group's charter capital, for the purpose of contributing capital to VinSpeed ​​High-Speed ​​Railway Investment and Development Joint Stock Company.

According to the report sent to the stock market management agency, the expected transaction value calculated at par value is just over 480 billion VND.

Currently on the stock market, VIC shares have a market price of VND98,400/share, after a strong increase since the beginning of the year. It is estimated that with the current market price, the above shares have liquidity of VND4,800 billion.

However, the actual value of this deal is estimated by the parties at VND3,060 billion. This level is based on the average VIC stock price of the 20 most recent sessions up to May 5, 2025, equivalent to VND63,635/share.

The expected time is from June 5 to July 4. Thus, after the transaction is completed, Mr. Pham Nhat Vuong will also complete his contribution of 51% of VinSpeed's charter capital. According to the business registration, VinSpeed ​​has a charter capital of 6,000 billion VND.

This is not the first time Vingroup's chairman has contributed capital to a subsidiary by transferring ownership.

Around the beginning of 2023, Mr. Vuong transferred nearly 50.8 million VIC shares (equivalent to 1.31% of Vingroup's charter capital) owned by himself to contribute capital to Green and Smart Mobility Joint Stock Company (GSM) as registered.

The Enterprise Law 2020 has detailed regulations on contributed capital. Accordingly, contributed capital includes Vietnamese Dong, freely convertible foreign currency, gold, land use rights, intellectual property rights, technology, technical know-how, and other assets that can be valued in Vietnamese Dong.

Stocks are defined as assets that can be valued in Vietnamese Dong. Therefore, individuals can use their stocks to contribute capital to establish a joint stock company.

Why did Mr. Vuong choose to contribute capital in stocks instead of cash?

On many stock forums, some investors wonder why Mr. Vuong chose to contribute capital in stocks instead of cash?

Speaking to Tuoi Tre Online , the director of analysis at a securities company said that contributing capital to stocks as a source of capital still has the same value as contributing money, real estate, gold or any other valued asset. The use of which asset depends on the strategy of each shareholder and business in considering financial benefits.

With the amount of shares transferred ownership, the transferee company can use these shares as collateral and borrow capital normally.

Meanwhile, not selling shares for cash helps owners avoid the costs and procedures associated with selling shares on the market or price fluctuations.

"Not to mention if the stock is at a high price, using the stock to contribute capital can bring greater value than selling it to the market for cash," said the analyst.

This also helps shareholders maintain control by retaining a significant stake in Vingroup through its affiliates. While supporting the growth of new companies without diluting overall control is a significant benefit of this move.
