How to name a business according to regulations for private tutors

Circular 29/2024 issued by the Ministry of Education and Training has officially come into effect, and schools nationwide have simultaneously stopped providing extra classes and tutoring.

Article 6 of Circular 29/2024 stipulates that organizations and individuals opening extracurricular tutoring classes that charge students fees must register their businesses to be subject to management under the provisions of the Enterprise Law. However, many teachers still do not know how to name their tutoring businesses when registering them.

How to name a business in accordance with regulations.

Article 88 of Decree 01/2021/ND-CP clearly stipulates the naming of household businesses. Specifically, household businesses have a unique name, which consists of two elements in the order of the phrase "Household Business" and the specific name of the household business. The specific name is written using letters from the Vietnamese alphabet, including the letters F, J, Z, W, and may be accompanied by numbers and symbols.

At the same time, words and symbols that violate the historical traditions, culture, ethics, and customs of the nation must not be used to name business households. Business households also cannot use the terms "company" or "enterprise" in their business names.

The business name must not be identical to the name of any business already registered within the district.

Therefore, the naming convention for tutoring businesses must meet the following requirements:

• The name must include the phrase "Household business".
• It must have a unique name written using Vietnamese letters, including the letters F, J, Z, W, and may include numbers or symbols.
• Do not use words or symbols that violate the historical traditions, culture, ethics, and customs of the nation when creating personal names.
• Do not use the terms "company" or "enterprise" when naming a sole proprietorship.
• The name must not be identical to the name of any business already registered within the district.

Application for registration of a tutoring business

According to Article 87 of Decree 01/2021, the following documents are required for business registration:

• Application form for business registration.
• Legal documents of the individual for the business owner, or for household members registering a business in cases where household members register a business.
• A copy of the minutes of the household members' meeting regarding the establishment of a household business, in cases where household members register a household business.
• A copy of the power of attorney document from a household member authorizing another member to act as the head of the household business, in cases where household members register a household business.

Article 84 of Decree 01/2021/ND-CP stipulates that in cases where the business owner cannot register the business themselves, they may authorize another organization or individual to register the business in accordance with the law.

Furthermore, according to Article 7 of Circular 105/2020 of the Ministry of Finance , after registering for tutoring services, business households need to carry out the initial tax registration procedures as follows:

• Tax registration form.
• A copy of the business registration certificate (if applicable).
• A copy of a valid citizen identification card is required for individuals who are Vietnamese citizens.
• A copy of a valid passport is required for individuals who are foreign nationals or Vietnamese citizens residing abroad.
