The latest abbreviations for business types

According to Clause 2, Article 37 of the Enterprise Law 2020, the types of enterprises are abbreviated. For a better understanding, please refer to the article below.

1. What does the Vietnamese name of a business include?

According to Clause 1, Article 37 of the 2020 Enterprise Law, the Vietnamese name of an enterprise includes two components in the following order:

- Type of business;

- Proper name.

2. The latest abbreviations for business types

According to Clause 2, Article 37 of the Enterprise Law 2020, the types of enterprises are abbreviated as follows:

- Limited liability company: LLC;

- Joint stock company: JSC;

- Partnership: HD company;

- Private enterprise: DNTN or TN enterprise.

3. Prohibitions in naming a business

Prohibitions in naming enterprises according to Article 38 of the 2020 Enterprise Law are as follows:

- Naming the same or confusingly similar to the name of a registered enterprise as prescribed in Article 41 of the Law on Enterprises 2020:

+ A duplicate name is when the Vietnamese name of the enterprise proposed for registration is written exactly the same as the Vietnamese name of the registered enterprise.

+ Cases considered to be names that cause confusion with the name of a registered enterprise include:

++ The Vietnamese name of the proposed business must be read the same as the name of the registered business;

++ The proposed abbreviated name of the enterprise is the same as the abbreviated name of the registered enterprise;

++ The foreign language name of the enterprise proposed for registration is the same as the foreign language name of the registered enterprise;

++ The proposed proper name of the enterprise is only different from the proper name of a registered enterprise of the same type by a natural number, an ordinal number or a letter in the Vietnamese alphabet, the letters F, J, Z, W written together or immediately after the proper name of that enterprise;

++ The proposed proper name of the enterprise is only different from the proper name of a registered enterprise of the same type by the symbol “&” or “and”, “.”, “,”, “+”, “-”, “_”;

++ The proposed proper name of the enterprise is only different from the proper name of a registered enterprise of the same type by the word "new" immediately before or the word "new" written immediately after or before the proper name of the registered enterprise;

++ The proposed proper name of the enterprise is different from the proper name of the same type of registered enterprise only by the phrase "North", "South", "Central", "West", "East";

++ The proper name of the enterprise is the same as the proper name of the registered enterprise.

+ The cases specified in points d, đ, e, g and h, Clause 2, Article 41 of the Law on Enterprises 2020 do not apply to subsidiaries of registered companies.

- Using the name of a state agency, a unit of the people's armed forces, the name of a political organization, a socio-political organization, a socio-political-professional organization, a social organization, or a socio-professional organization as the whole or part of the proper name of an enterprise, except in cases where there is approval from that agency, unit or organization.

- Using words and symbols that violate historical traditions, culture, ethics and customs of the nation.

4. Regulations on foreign language business names and abbreviated business names

Regulations on foreign language enterprise names and abbreviated names of enterprises according to Article 39 of the 2020 Enterprise Law are as follows:

- A foreign language business name is a name translated from Vietnamese into one of the foreign languages ​​in the Latin alphabet. When translated into a foreign language, the proper name of the business can remain the same or be translated according to the corresponding meaning in the foreign language.

- In case an enterprise has a name in a foreign language, the foreign language name of the enterprise shall be printed or written in a smaller font size than the Vietnamese name of the enterprise at the head office, branches, representative offices, business locations of the enterprise or on transaction papers, documents and publications issued by the enterprise.

- The abbreviated name of the enterprise is an abbreviation of the Vietnamese name or the name in a foreign language.
