On the morning of November 21, 2025 in Hanoi, Vietnam Medical Legal Consulting Company Limited (Medicallaw) organized the International Conference on Mergers and Acquisitions (M&A) in the healthcare industry in 2025. The event marked the first time Vietnam had an in-depth forum focusing entirely on the field of healthcare M&A, attracting the participation of state management agencies, law consulting units, medical equipment manufacturers and medical and pharmaceutical enterprises.

According to experts, Vietnam is emerging as a potential market for healthcare M&A thanks to its rapidly developing private healthcare system, growing demand for high-quality healthcare, and open-door policies that encourage foreign investment.
In addition, the trend of globalization and international integration is promoting a strong transformation of the healthcare sector towards personalization, digitalization and data-based. Strengthening international cooperation not only brings valuable resources and experience to healthcare, but also helps Vietnamese healthcare quickly access advanced techniques, improve professional qualifications and approach international standards.
Sharing at the conference, Mr. Nguyen Toan Thang - Deputy Chief of Office of the Ministry of Health emphasized that the Vietnamese health sector is facing a particularly important time, a new opportunity for integration and development. In particular, the demand for health care is increasing rapidly; hospital, pharmaceutical and medical equipment models are constantly expanding; international investment capital for this field is increasingly interested in Vietnam. In that context, M&A has become one of the strategic tools to help the health ecosystem develop faster, more sustainably and approach international standards.

The perspective from a medical equipment manufacturing enterprise also shows the clear impact of M&A on development. Sharing with Industry and Trade Newspaper, Ms. Phung Mai Lan - Deputy Director of Vtech said that this has urged enterprises to move towards more modern cooperation models to improve competitiveness and contribute to the community. " M&A is not only a way to expand financial capacity and production scale, but also an opportunity to upgrade management, improve product quality and increase presence in the supply chain. Promoting the removal of the legal framework
However, in addition to opportunities, M&A in the healthcare industry still faces major challenges in terms of legal framework, administrative procedures and corporate governance mechanisms. Regulations on medical asset valuation, operating standards, data security or human resource management are still not consistent, making many deals difficult to implement.
According to Associate Professor, Dr. Dang Duc Nhu, Senior Advisor of Medicallaw, M&A in the healthcare sector is very complicated because it involves human resources and medical data – a conditional business that requires high confidentiality. Success depends heavily on legal advice.
“ M&A appraisal in the healthcare industry is much more complicated than in other industries, involving practice licenses, professional operating licenses, fire prevention and fighting, environment, senior personnel, good doctors, drug lists, equipment and health insurance regulations, ” Mr. Nhu emphasized.
Sharing more, Associate Professor, Dr. Dang Duc Nhu said that in many years of legal consulting, Medicallaw has participated in supporting hundreds of M&A dossiers, no less than 250 types of drugs in the pharmaceutical industry, and many factories and medical enterprises.
