Some banks have had their shareholders approve their plans to acquire securities companies this year, with the ambitious goal of expanding their investment banking activities. Specifically, at the 2025 Annual General Meeting of Shareholders last week, the Board of Directors of Saigon Thuong Tin Commercial Joint Stock Bank ( Sacombank - stock code STB) submitted a plan to contribute capital/purchase shares of a securities company to become a subsidiary of the bank. The charter capital ownership ratio at the securities company is over 50%, with a maximum total investment value of VND 1,500 billion.
Currently, Sacombank is the largest shareholder of SBS Securities Company (stock code SBS) with an ownership ratio of nearly 13.8%. Explaining further about this plan, the leader affirmed that the bank has no need to buy back SBS Securities. Instead, Sacombank will choose good securities companies with suitable services to develop investment fields. The bank also does not invest in securities company stocks.

Or shareholders of Maritime Commercial Joint Stock Bank (stock code MSB) have approved all proposals, including the 2025 business plan, divestment from the financial company and the plan to acquire the securities company. MSB's Board of Directors assessed that the Vietnamese stock market and services in the investment banking sector are potential markets, playing the role of an effective capital channel for the economy and are forecast to attract about 25 billion USD in foreign indirect investment each year into Vietnam.
At the same time, owning a securities company and a fund management company will help MSB easily access and provide securities investment services and expand into the field of high-end asset management (Wealth Management), serving potential customers who want to invest more professionally; providing products such as open-end funds, pension funds, stock investment funds, bonds... to diversify investment options. In addition, owning a securities company and a fund management company will help MSB participate more deeply in the capital market, benefiting from the long-term development of the market.
Similarly, shareholders of Southeast Asia Commercial Joint Stock Bank ( SeABank , stock code SSB) also approved important contents in the business plan, including capital increase, acquisition of securities companies... Specifically, SeABank has a policy of purchasing shares in ASEAN Securities Joint Stock Company so that this company becomes a subsidiary of SeABank.
According to the document, ASEAN Securities Company was established in 2006 and has a current charter capital of VND 1,500 billion, operating in the field of securities business such as securities brokerage; securities trading; securities investment consulting; securities underwriting and other business activities. The plan is that SeABank can buy up to 100% of the charter capital of ASEAN Securities. The specific ratio will be decided by the Board of Directors to ensure that ASEAN Securities becomes a subsidiary of SeABank. The expected implementation time is in 2025 or in accordance with the approval of competent State agencies, legal regulations and the actual situation.
Previously, many banks established or acquired securities companies. In 2022, Vietnam Prosperity Joint Stock Commercial Bank (VPBank) acquired ASC Securities Company, changed its name to VPBank Securities Company (VPBankS) and invested money to increase its capital to 15,000 billion VND. Many banks that previously established securities companies all had the same name, such as Vietcombank with Vietcombank Securities Company (VCBS); Asia Commercial Bank (ACB) owns ACB Securities Company; Techcombank has Techcom Securities Company (TCBS); Military Commercial Joint Stock Bank (MB) has MB Securities Company...
