SONG BA HA HYDROELECTRICITY JOINT STOCK COMPANY: Successfully organized the 2025 Annual General Meeting of Shareholders

Song Ba Ha Hydropower Joint Stock Company (SBH) has just successfully organized the 2025 Annual General Meeting of Shareholders, with the direct participation of 23 shareholders/authorized shareholders' representatives, corresponding to the number of voting shares of 123,233,875 shares, reaching a rate of 99.2% compared to the total number of 124,225 million voting shares summoned to attend the meeting. At the meeting, all contents submitted by the Board of Directors and the Board of Supervisors were unanimously approved by shareholders with a high rate.

Attending the congress, Power Generation Corporation 2 had Mr. Tran Phu Thai, Chairman of the Board of Directors; Mr. Tran Ly, Member of the Board of Directors; Ms. Nguyen Thi Ngoc Lan, Independent Member of the Board of Directors, and representatives of functional departments. SBH had members of the Board of Directors, Board of Supervisors, Board of General Directors, and heads of units.

The 2025 Annual General Meeting of Shareholders of SBH reported on the summary and evaluation of the results of production, business and investment activities in 2024, the report on the activities of the Board of Directors in 2024, the report on the implementation of tasks in 2024 of the Board of Supervisors... discussed and voted on the 2025 task plan and contents related to the management and operation of the company under the decision-making authority of the General Meeting of Shareholders as prescribed in the Law on Enterprises and the Charter of SBH.

In 2024, the weather situation was quite extreme, so SBH carried out its production and business tasks in the context of unfavorable hydrological conditions, erratic climate changes, due to the influence of the El Nino phenomenon, the Central Highlands - Central region experienced widespread heat and drought, and the water flow to the lake was much lower than in the same period. However, with the attention, support and close direction of Power Generation Corporation 2, the attention and assistance of local departments and branches, along with the drastic and flexible leadership of the Board of Directors, the efforts, solidarity and consensus of the Board of Directors, officers and employees, the company has strived to fulfill the plan targets assigned by the 2024 Annual General Meeting of Shareholders. As a result, in 2024, SBH generated 499.4 million kWh of electricity; paid the state budget more than 151 billion VND; At the same time, complete and exceed all assigned economic and technical targets.

The Congress unanimously approved the following contents: Audited financial report for 2024; Production and business results - construction investment in 2024, Production and business plan for 2025; Report on the operation situation of the Board of Directors/Board of Supervisors in 2024 and operation direction in 2025; Profit distribution plan for 2024; Selection of an auditor for the financial report in 2025; Salary and remuneration of members of the Board of Directors/Board of Supervisors in 2024 and salary and remuneration plan for members of the Board of Directors/Board of Supervisors in 2025... One of the key tasks in 2025 that SBH strives for is to produce 667 million kWh of electricity, while SBH continues to focus on solutions for optimal reservoir operation, dam safety and technology application in plant operation management.

At the meeting, shareholders unanimously voted to dismiss Ms. Nguyen Thi Huynh Hoa from the Board of Supervisors for the 2023-2028 term and unanimously elected Ms. Ta Thi Kim Hanh as a member of the Board of Supervisors for the 2023-2028 term.

With the spirit of serious work, transparency and cooperation, SBH's 2025 Annual General Meeting of Shareholders was a great success. The company will continue to promote its role as a safe, efficient and sustainable electricity producer, contributing to socio-economic development, while enhancing value for shareholders and stakeholders.
