On the morning of September 22, the National Assembly Standing Committee gave its opinion on the draft Law on E-commerce. The draft law is designed to include 8 chapters and 50 articles.

Platform owners are responsible for identifying domestic sellers via VNeID
Notably, the draft has introduced many new regulations to manage e-commerce activities. These include regulations on common responsibilities of entities participating in e-commerce activities.
Specifically, regulations related to information transparency. Accordingly, e-commerce platforms must ensure that information is publicly and transparently published, including information about the owner.
Along with that, it is necessary to ensure information about the seller, which is a new point compared to the decree, must display information about the seller; information about products, goods, services; general transaction conditions, including rights and obligations of the parties, delivery and payment policies, dispute resolution mechanism...
In particular, the draft stipulates "seller identification". In which, the platform owner is responsible for identifying domestic sellers via VNeID. Identifying foreign sellers through documents proving legality.
Along with that, regulations on controlling information that violates the law. Specifically, the preventive measure is to have a mechanism to automatically censor information before it is displayed on the platform. Review and remove information that violates the law when detected or received feedback.

Platform owners must verify the identity of livestreamers
Regarding livestream sales activities, the draft clearly stipulates that the platform owner must authenticate the identity of the livestreamer, publicize and implement mechanisms and measures to control livestream sales content in real time.
The seller must provide the livestreamer with legal documents proving that the conditions are met.
For livestreamers, the bill clearly stipulates that they are not allowed to provide false or misleading information about the uses, origin, quality, prices, promotions, warranty policies and other content related to goods and services.
Correctly implement advertising content that has been confirmed by a competent authority for goods and services in cases where the law requires confirmation of advertising content.
Regarding affiliate marketing activities, the draft clearly states that organizations providing affiliate marketing services must identify affiliate marketers; have a mechanism to monitor and supervise affiliate marketers' activities; and prevent and remove links to goods and services that violate the law.
For affiliate marketers, the bill states that they are not allowed to provide false or misleading information about the uses, origin, quality, prices, promotions, warranty policies and other contents related to goods and services.
Affiliate marketing is not allowed on digital platforms that do not meet the operating conditions in Vietnam.
For e-commerce activities involving foreign elements, the draft law stipulates that the owner of an e-commerce platform is a foreign organization or individual whose language is Vietnamese or uses the Vietnamese national domain name ".vn" or reaches the transaction threshold with buyers in Vietnam, must establish a legal entity in Vietnam.
If establishing a legal entity in Vietnam, investors can only do so through two forms: establishing an economic organization or contributing capital and buying shares. At the same time, if investing in a large-scale digital platform, they must seek the Ministry of Public Security 's assessment of national security.
In case of authorization to a legal entity in Vietnam, the content of authorization between the foreign organization or individual and the authorized legal entity must ensure full implementation of the responsibilities in the Law on E-commerce.
At the same time, the platform owner must make a deposit at a commercial bank in Vietnam or a branch of a foreign bank in Vietnam.
This is to address issues related to compensation for damages to buyers in Vietnam.
Because in reality, many risky fields such as banking, trust services, and multi-level marketing all have such regulations.
Examining this content, Chairman of the Economic and Financial Committee Phan Van Mai requested a supplementary report to clarify the shortcomings, limitations, and "gaps" in current laws and draft laws being simultaneously submitted to the National Assembly that need to be overcome, supplemented, and completed by separate regulations in the draft law.
According to the inspection agency, it is necessary to clearly define the scope and content of "e-commerce activities"; review and clarify regulations corresponding to the characteristics of goods purchase and sale contracts compared to service provision contracts, because the nature of service methods and activities are very different from e-commerce platforms.
