Merge VNPT-Vinaphone and VNPT-Media into VNPT

(Dan Tri) - The Government has just issued a Resolution to merge VNPT-Vinaphone and VNPT-Media into the parent company VNPT as proposed by the Ministry of Finance.

The Government has just approved the proposal of the Ministry of Finance on merging two subsidiaries, the Vietnam Telecommunications Services Corporation (VNPT-Vinaphone) and the Vietnam Media Corporation (VNPT-Media), into the parent company, the Vietnam Posts and Telecommunications Group (VNPT).

The decision was made on May 29, based on the provisions of Decree No. 23 of the Government on establishment, reorganization, ownership conversion, and transfer of ownership representation rights at enterprises in which the State holds 100% of charter capital.

Specifically, the Board of Members of VNPT Group will be the unit that makes the final decision on the merger of VNPT-Vinaphone and VNPT-Media into the parent company, after the Prime Minister approves the merger policy. This policy will be proposed by the Ministry of Finance, in its role as the representative body of the ownership of VNPT Group.

Within 3 days from the date of issuance of this Resolution, the Ministry of Finance shall be responsible for completing the Submission to the Prime Minister for approval of the merger policy.

The submission will be based on documents from VNPT Group and received from the State Capital Management Committee at the former enterprise. The Ministry of Finance will also be responsible for the accuracy of the documents and the submission.

At the same time, the Ministry of Finance will closely monitor the merger process to ensure the effective use of state capital invested in the enterprise. The Board of Members of VNPT Group is required to operate continuously throughout the merger process, ensuring compliance with the documents and plans submitted to the Ministry of Finance.

The Government also stressed that the merger must ensure a streamlined apparatus, efficient operations and improved capital utilization. The enterprises involved must be responsible for the proposal and effectiveness of this arrangement and merger process.
