Vincom Retail transfers Vincom Center Nguyen Chi Thanh for 3,630 billion VND

The transferee is Bao Quan Investment Trading and Service Company Limited.

Vincom Retail Joint Stock Company (code VRE) has just announced the transfer of all capital contributions in Vincom NCT Real Estate Company Limited.  

Specifically, on October 28, 2025, the Board of Directors of Vincom Retail approved the transfer of all capital contributions equivalent to 99.99% of charter capital in Vincom NCT Real Estate Company Limited.  

Vincom NCT was established in May 2024 with a charter capital of VND 3,620.2 billion, of which Vincom Retail holds 99.99%, equivalent to VND 3,619.8 billion. This company is the owner of Vincom Center Nguyen Chi Thanh.  

Vincom Retail will transfer the above capital to Bao Quan Investment and Service Trading Company Limited with a value of 3,630 billion VND. The company said that the transferee is an independent legal entity, having no ownership relationship with Vingroup Corporation or its member companies.

The expected implementation time is this October. After the transfer, Vincom NCT is no longer a subsidiary of Vincom Retail.

It is known that Bao Quan Investment and Service Trading Company Limited was established in April 2023 with a charter capital of 150 billion VND, headquartered at TNR Goldsilk Complex Building, Ha Dong, Hanoi . The company is chaired by Mr. Nguyen Huu Thuan (born in 1995), Mr. Thuan is also one of the two individuals contributing capital to establish the company with a ratio of 50%, the remaining 50% is contributed by Mr. Nguyen Van Hieu. By February 2024, Mr. Thuan transferred this capital contribution to Mr. Pham Dinh Cao, along with that, the legal representative also changed to Mr. Cao - Director of the company.  

With the above transfer decision, the long-standing commercial center with a prime location, Vincom Center Nguyen Chi Thanh, will no longer be part of the Vincom system. Vincom Retail said that this transaction is part of its investment strategy to optimize operational efficiency and focus resources on key commercial centers with large scale and high development potential in the future.  

Vincom Retail is currently the leading retail real estate investor in the country with a system of nearly 90 Vincom shopping centers present in 31 out of 34 provinces and cities nationwide.  

At the recent 2025 Annual General Meeting of Shareholders, Vincom Retail's Board of Directors also determined a long-term expansion strategy, planning to develop shopping malls located in Vinhomes urban areas with areas ranging from hundreds to thousands of hectares. Large-scale shopping malls will help better meet the experience needs of shoppers, who are increasingly looking for multi-functional shopping spaces that integrate many utilities and service experiences, instead of simply shopping.  

Vincom Retail's shopping malls will take advantage of accessing a large number of shoppers from Vinhomes residents and neighboring areas. In addition, synchronous development with Vinhomes urban areas also helps speed up the completion of legal procedures for both parties, thanks to the capacity of the project development team.

Most recently, Vincom Retail opened the Vincom Mega Mall system in the east of Hanoi (Vincom Mega Mall Ocean City with a scale of nearly 70,000 m2) and Hai Phong (Vincom Mega Mall Royal Island with a scale of more than 55,000 m2).
