On the morning of November 3, continuing the 10th session of the 15th National Assembly, on behalf of the Government, Minister of Industry and Trade Nguyen Hong Dien presented the draft Law on E-commerce.

Real-time online reporting of removal results

According to the report, the common responsibilities of entities participating in e-commerce activities include information transparency, periodic online reporting, control of information violating the law, and storage of transaction information.

In terms of information transparency, the draft stipulates that e-commerce platforms must ensure that the following information is publicly disclosed and transparent.

Including information about the owner; information about the seller (this is a new point compared to the decree, the seller's information must be displayed); information about goods and services; basic content about the conditions for public operation on the e-commerce platform.

Regarding periodic online reporting, the draft Law clearly states that it is through the e-commerce management platform or at the request of the competent state management agency. In case of large digital platforms, online reporting on removal results must be carried out in real time through the e-commerce management platform.

E-commerce platforms must have a mechanism to automatically censor information before displaying it on the platform; review and remove information that violates the law upon detection or receipt of feedback.

In addition, the e-commerce platform must store transaction information including information about goods and services posted on the platform for at least 1 year from the time of posting.

Information relating to the basic content of the transaction contract on the platform for a minimum period of 3 years from the date of contract conclusion.

Livestream sales must be honest

Notably, the draft law includes a series of regulations related to livestream sales. According to the draft law, platform owners must verify the identity of livestreamers, publicize and implement mechanisms and measures to control livestream sales content in real time.

For sellers in livestream sales activities, it is necessary to provide the livestream seller with full documents proving that they meet the investment and business conditions for conditional investment and business sectors before livestreaming sales. In addition, there are documents and papers proving that the product and goods quality meets the provisions of law on product and goods quality.

For livestream sellers, it is not allowed to provide false or misleading information about the uses, origin, quality, price, promotions, warranty policies and other content related to goods and services. Implement the advertising content that has been confirmed by the competent authority for goods and services that are required by law to confirm advertising content.

Use language, images, costumes, and behaviors that are not contrary to social ethics and good customs during livestream sales.

Regarding the management of social networks for e-commerce activities, the draft Law supplements the responsibility of social network owners in: (Classifying and displaying signs to identify seller accounts with other accounts. In case there is an online communication function, there is a tool to allow confirmation of contract content through the integrated online communication function.

For cross-border e-commerce activities, the owner of an e-commerce platform is a foreign organization or individual whose platform has Vietnamese language selection or uses the Vietnamese national domain name “.vn” or reaches the transaction threshold with buyers in Vietnam, must establish a legal entity in Vietnam.

In case there are other provisions in the international treaty to which Vietnam is a member, the platform owner may choose one of two forms: establishing a legal entity in Vietnam or appointing a legal entity in Vietnam under authorization to perform the legal responsibilities of the platform owner in accordance with the provisions of law.

Need to protect domestic production

Examining this content, Chairman of the Economic and Financial Committee Phan Van Mai said that the Committee proposed to continue to improve in the direction of ensuring rationality, feasibility, and suitability with the characteristics of each type of e-commerce platform, and the level of participation of the platform in the contract signing process carried out on the platform.

For social networks operating e-commerce, it is recommended to review and clarify the scope of responsibility of the owner determined on the basis of having the function of placing online orders, livestreaming sales associated with placing orders through the online ordering function on the platform or having the feature of supporting payment services, logistics services (including forms of support integrated with the online communication function) on the platform to have regulations at an appropriate level.

Regarding e-commerce activities involving foreign elements, the Economic and Financial Committee proposed to perfect regulations according to the principle of ensuring the goal of protecting consumer rights and protecting domestic production on the basis of complying with international commitments, creating a competitive environment, equality, and harmony of interests between entities; clarifying administrative procedures and deposit responsibilities.

Along with that is the completion of regulations on the responsibilities of authorized legal entities in Vietnam to ensure compliance with the characteristics of each type of platform and the specific nature of e-commerce activities with foreign elements.
