FLC Group Joint Stock Company has announced that Mr. Le Thai Sam has submitted his resignation as a member of the company's Board of Directors. Accordingly, the FLC Board of Directors met and unanimously agreed to submit to the General Shareholders' Meeting for approval the dismissal of Mr. Le Thai Sam from his position as a member of the Board of Directors at the most recent meeting. Mr. Le Thai Sam was recently elected Chairman of the Board of Directors of Tre Viet Aviation Joint Stock Company (Bamboo Airways) in mid-July.

The new Chairman of Bamboo Airways, Mr. Le Thai Sam, currently owns shares equivalent to over 50% of the airline's charter capital and is also its largest shareholder. Mr. Le Thai Sam assumed the position of Chairman of the Board of Directors, replacing Mr. Oshima Hideki less than a month after the latter took office.
At FLC Group, Mr. Sam was elected as a member of the company's Board of Directors in July 2022, along with two other members, Mr. Le Ba Nguyen and Mr. Doan Huu Doan.
FLC Group has yet to hold its 2022 and 2023 annual general meetings of shareholders. The reason is that the audited financial statements for 2021 have not been released because FLC and UHY Auditing and Consulting Company Limited have not reached an agreement on the audit opinion.
FLC stated that it is working with UYH to complete the necessary procedures to provide a suitable audit opinion on the 2021 audited financial statements, which will serve as the basis for convening the 2022 Annual General Meeting of Shareholders. After the meeting is held, FLC will proceed with the next steps in accordance with the law to organize the 2023 Annual General Meeting of Shareholders as soon as possible.
To date, FLC has not yet published its audited financial statements for 2021, the first half of 2022, and the entire year of 2022. Furthermore, the group has not yet published its financial statements for the fourth quarter of 2022 and the first two quarters of this year. Therefore, although FLC shares have been listed on UPCoM, trading remains suspended.
