Netflix has officially announced that it has reached a deal to acquire Warner Bros Discovery's (WBD) film and streaming assets for $72 billion. This decision gives Netflix control of one of Hollywood's most famous film studios and at the same time reshapes the entire global entertainment industry.
At a valuation of $27.75 per WBD share, the combined cash and stock deal values the company at $82.7 billion.
Netflix has gone from a small DVD rental company nearly three decades ago to a Hollywood juggernaut. The acquisition brings Netflix the most coveted content portfolio, including iconic franchises like Harry Potter, Batman, The Sopranos, and Game of Thrones, along with HBO's entire streaming business and premium programming.

Meanwhile, Warner Bros Discovery will continue to implement plans to separate cable networks CNN, Discovery and Turner into independent companies before transferring the studio and streaming business to Netflix.
This story is not just a merger, but also a reunion between two players in the entertainment industry. On one side is Netflix - the streaming giant that has changed the global media landscape, on the other side is Warner Bros - the famous film studio with a priceless treasure including The Wizard of Oz, the Harry Potter universe and the world of DC Comics.
"I know some of you were surprised when we made this acquisition, and I completely understand why. Over the years, we've been known as builders, not acquirers," Netflix CEO Ted Sarandos said on a call with investors.
In terms of the payment structure, each Warner Bros Discovery shareholder will receive $23.25 in cash and $4.50 in Netflix stock for each WBD share. To secure the deal, Netflix has committed to paying a $5.8 billion settlement fee if the transaction fails. Warner Bros Discovery will incur a $2.8 billion fee if it cancels to pursue another deal.
