The deal, which will be completed after WBD separates its studio and streaming service HBO Max from cable networks, is seen as a deal that will reshape the entertainment and media industry. The information was announced on December 5 and the contract will be made in cash and stock. Each share of WBD is valued at $27.75, bringing the company's capitalization to $82.7 billion. Specifically, the company's shareholders will receive $23.25 in cash and $4.50 in Netflix common stock for each share owned.

The transaction is expected to close in 12-18 months, following the previously announced spin-off of WBD's Global Networks division into a new public company called Discovery Global. Prior to the potential Netflix deal, Warner Discovery continued to plan to split into two separate companies, with one company covering its studio assets and streaming services, and the other covering its global cable network operations.

Netflix — the streaming giant with hits like “KPop Demon Hunters,” “Love Is Blind” and “Stranger Things” — said the deal will help it attract and retain subscribers, adding Warner’s vast library of movies and TV shows as well as HBO and HBO Max programming to its platform.

The company expects the deal to significantly expand its U.S. production capacity. WBD CEO David Zaslav said the combination will ensure customers around the world will continue to enjoy the most powerful stories that resonate across generations.

The deal, the largest in Netflix's history, is one of the biggest announced this year, as mergers and acquisitions have surged under the Trump administration. The deal would combine the world's largest streaming service with a smaller rival as entertainment companies look to attract more subscribers and boost revenue through price increases. Paramount had previously sought to buy the entire company, including cable networks CNN, TNT and TBS, while Comcast pursued the studio unit and streaming service HBO Max.
