On December 4, Thien Long Group Corporation (TLG) announced the transaction of Thien Long An Thinh Investment Joint Stock Company (TLAT) - the largest shareholder owning 46.82% of the company's charter capital.
Specifically, the announcement said that TLAT's Board of Directors is currently in the process of negotiating, agreeing and signing a proposed transaction with Kokuyo Group - a large Japanese enterprise in the field of stationery and office furniture.
The deal is to transfer all of TLAT's shares to Kokuyo.
In addition to this negotiation process, according to information provided by the TLAT Board of Directors, Kokuyo Group plans to conduct a public offering to purchase 18.19% of TLG shares in accordance with Vietnamese law, aiming to own up to 65.01% of TLG's charter capital.
Currently on the stock exchange, Thien Long's TLG shares are priced at 64,200 VND.
A representative of Thien Long Group affirmed that during this period, the above developments do not directly affect TLG's daily production and business activities. Accordingly, all departments continue to operate normally and stably.
"We continue to focus on ensuring product quality, service standards and operational efficiency - the foundations that have built TLG's position in the stationery industry for nearly 45 years," Thien Long added.
According to this company, information related to the expected transaction depends on the next steps between the parties. All will be carefully received and updated by Thien Long.
In response to shareholders' concerns about the above transfer plan, Thien Long said the company expects "the participation of a prestigious international partner from Japan, Kokuyo, will help TLG expand its cooperation space in the fields of research, design, and product enhancement at home and abroad, in line with TLG's "Glocalization" strategic orientation."
As for employees, customers and partners, Thien Long affirms that all operations will continue to operate stably and normally as planned, with no major changes in personnel or policies during the current period.
Japanese "giant" wants to acquire Thien Long, which owns the Campus brand.
According to Tuoi Tre Online 's research, Kokuyo also has a branch selling stationery, labels, and office furniture in Vietnam.
In the stationery sector, this Japanese enterprise owns products under the Campus brand. Kokuyo's stationery brand has been officially sold in Vietnam since 2010.
About Thien Long, established in 1981, this group is considered the leading stationery brand in Vietnam with more than 1,000 products under brands such as Thien Long, FlexOffice, Colokit and Flexio.
Currently the company manufactures and exports products to more than 74 countries.
Regarding business situation, the financial report recorded that Thien Long's revenue in the first 9 months of this year reached 3,238 billion VND, an increase of nearly 11% over the same period.
However, profit after tax only reached 375 billion VND, down nearly 11%.
