HNX: Most companies have increased in information disclosure and transparency scores

DNVN - Hanoi Stock Exchange (HNX) said that the average score of information disclosure and transparency assessment of companies in 2023-2024 is 54.74 points. This figure increased by 10.98 points compared to the average assessment result in 2022-2023 (43.76 points). Most companies have growth in this score.

Reporting the results of the program to assess the quality of information disclosure and transparency (CBTT&MB) of large-scale public companies registered to trade on HNX in 2023 - 2024 at the "Annual Business Conference 2024" on the afternoon of November 8, HNX representative said that the average CBTT&MB assessment score for 2023-2024 of the companies was 54.74 points.

This figure increased by 10.98 points compared to the average assessment result in 2022-2023 (43.76 points). Most companies have growth in CBTT&MB score in 2023-2024.

At HNX, CBTT&MB is being maintained at a good level and has improved in some contents.

“CBTT&MB is being maintained at a good level and has improved in some aspects. Specifically, about 44.2% of enterprises disclose information of members of the board of directors and executive board in their annual reports. 95% of enterprises disclose their financial situation and key financial indicators for the 2023 fiscal year; 60.6% of enterprises fully disclose their company's development orientation,” the report said.

According to HNX, the responsibilities of the board of directors and the executive board have changed in a more positive direction compared to the previous assessment period. The good implementation contents focus on implementing regulations related to the number of members, the concurrent holding of the positions of chairman of the board of directors and general director.

In particular, the report assessed that the rate of meetings conducted in accordance with regulations reached from 96% to more than 99%, an increase of up to 9% compared to 2022-2023.

The results of the assessment of CBTT&MB by capital size this year show that companies with large capital size have higher CBTT&MB scores. Companies with equity capital of VND 10,000 billion or more and capitalization of VND 5,000 - 10,000 billion have higher CBTT&MB scores than the remaining group of companies.

Companies with reasonable financial leverage tend to comply more with CBTT&MB. 72% of companies with leverage levels between 10% and below 70% have CBTT&MB scores above the average. The highest score belongs to the group of companies using financial leverage between 10% - 30%, equivalent to 55.61 points.

Based on the results of the analysis of the quality of CBTT&MB, HNX recommends that attention should be paid to the organization and quality of the general meeting of shareholders. Improve the ability to access information for shareholders.

At the same time, it is necessary to ensure the role of stakeholders in corporate governance, improve the quality of information disclosure and improve transparency in information disclosure. The Board of Directors needs to perform its responsibilities well on the basis of compliance with regulations and good international practices.
