On January 24th, KIDO Group Joint Stock Company (KIDO Group, HOSE: KDC) will hold an extraordinary general meeting of shareholders. At this meeting, in addition to summarizing business activities in 2024, the company will approve matters related to the Celano and Merino ice cream brands owned and managed by the group.

According to the draft presented to the extraordinary general meeting of shareholders, KIDO Group stated that in early 2022, the company completed the procedures to transfer all brands and trademarks from its subsidiaries to the group, including the Celano ice cream brand from KIDO Frozen Foods Joint Stock Company (KIDO Foods).

In June 2022, KIDO Foods transferred ownership of its protected trademarks, including the Celano ice cream trademark, to KIDO Group. Subsequently, through an industrial property service organization, KIDO Group had its trademark registration certificate amended by the Intellectual Property Office - Ministry of Science and Technology .

Along with Celano, the Merino ice cream brand also belonged to KIDO Group since 2013 when the group acquired Wall's ice cream. The Merino ice cream brand was transferred from KIDO Foods to KIDO Group in December 2023.

However, with KIDO Group reducing its ownership stake and KIDO Foods becoming an affiliated company of the group, the exploitation and use of the Celano and Merino ice cream brands need to be reconsidered. Therefore, KIDO Group is presenting this matter for shareholder approval at the upcoming extraordinary general meeting.

According to VietNamNet 's investigation, KIDO Group has filed a lawsuit against KIDO Foods regarding the ownership dispute over the two Celano ice cream brands. This civil case, "Intellectual Property Dispute," has been accepted by the Ho Chi Minh City People's Court.

On January 17th, the Ho Chi Minh City People's Court issued a decision applying an urgent interim measure of "Prohibiting or compelling the performance of certain acts" against KIDO Foods.

Specifically, the Ho Chi Minh City People's Court prohibited KIDO Foods from using (i.e., advertising, promoting, introducing…) the "Celano" brand; and ordered Dat Viet Media Joint Stock Company not to advertise, promote, or introduce the "Celano" brand in the programs "Anh Trai Say Hi" and "2 Ngay 1 Dem" - two music and entertainment programs that are attracting young people.

"This decision takes effect immediately and will be enforced in accordance with the law on civil enforcement," the Ho Chi Minh City People's Court stated.

Since trading of the shares was suspended, Tan Tao Company's information disclosure violations have not been rectified and are likely to continue, affecting the rights of shareholders.
