A solution is needed soon to definitively resolve the obstacles facing BOT transportation projects.

The Government Office issued Notice No. 685/TB-VPCP conveying the conclusions of Deputy Prime Minister Tran Hong Ha at the meeting on drafting the Decree detailing the handling of obstacles in BOT transportation projects.

The announcement stated: Difficulties and obstacles have arisen and persisted for many years in several public-private partnership (PPP) construction projects, specifically Build-Operate-Transfer (BOT) transport projects. Since 2017, the National Assembly, the Government, and the Prime Minister have issued numerous directives to the Ministry of Transport (now the Ministry of Construction ), the Ministry of Planning and Investment (now the Ministry of Finance), and other relevant agencies and units to promptly find solutions to resolve these issues. This is a matter affecting many stakeholders (the state, investors, project enterprises, credit institutions, the public, etc.); resolving the difficulties and obstacles in BOT projects will help unlock investment capital for infrastructure development under the PPP model and improve the investment environment. At its 9th session, the National Assembly amended the Law on Investment under the Public-Private Partnership method, including provisions to address obstacles in BOT transportation projects that had signed contracts before January 1, 2021.

According to the Ministry of Construction's report, the draft Decree has been fully implemented by the Ministry of Construction in accordance with legal procedures and regulations, and has a political basis for resolving the difficulties of BOT transport projects that were contracted before January 1, 2021. Currently, there are still differing opinions regarding the interest rate method during the operation and business phase when determining compensation costs and early contract termination.

The Deputy Prime Minister requested the Minister of Construction to direct the study and fully address the opinions of ministries, agencies, and Techcombank in Official Letter No. 2349-01/2025/TCB dated November 21, 2025; to compile and report fully on the results of working with commercial banks and credit institutions related to the projects facing difficulties; to preside over and coordinate with the State Bank of Vietnam to carefully assess the impact of the options, and on that basis propose a feasible option that complies with legal regulations; to prevent negative consequences, complaints, and losses of state assets; to clearly affirm that the proposed option complies with the law; and to complete the dossier in accordance with the Government's working regulations and the Law on the Promulgation of Legal Documents, and submit it to the Prime Minister before December 13, 2025.

The Deputy Prime Minister instructed the Government Office, based on the documents submitted by the Ministry of Construction, to solicit opinions from Government members on December 14, 2025. Government members are requested to vote clearly on the proposed plan. The Government Office will compile the information and report to the Prime Minister on December 15, 2025, as directed by the Prime Minister.

The Ministry of Construction stated that, implementing the Resolution of the 11th National Congress of the Party and Resolution No. 13-NQ/TW dated January 16, 2012, of the Central Committee, up to 2020 (the time when the Law on Investment in Public-Private Partnerships (PPP Law) was promulgated), the whole country had mobilized approximately VND 318,857 billion to invest in 140 BOT transportation projects. These projects have been put into operation as intended, effectively reducing transportation costs, promoting socio-economic development, reducing traffic congestion and accidents, and enhancing the competitiveness of the economy... However, prior to the promulgation of the PPP Law, the laws on investment in the form of BOT contracts still had some limitations. During the implementation of contracts, policies had to be adjusted to suit practical requirements, leading to difficulties in some BOT transportation projects.
