
Dicera Construction is currently a subsidiary in which DC4 holds a 51% stake. The dissolution is explained by the fact that the project's investor has not yet completed the necessary legal procedures to commence construction.
This company was newly established on June 10, 2025, operating in the field of civil, industrial, high-rise building, and urban infrastructure construction. Prior to that, on June 7, 2025, TIG approved the capital contribution to establish Dicera Construction with a charter capital of VND 100 billion, of which TIG contributed VND 48 billion (48%), DC4 contributed VND 51 billion (51%), and Ms. Tran Thi Thuy Hang contributed VND 1 billion (1%).
Besides dissolving its subsidiary, Dicera Holdings has also approved a plan to acquire 36.88 million shares, equivalent to 99.68% of the capital in Tri Holdings Real Estate Investment Joint Stock Company, for a total value of VND 428.6 billion.
Dicera Holdings is the investor of the Hoa Lan Thuan Giao apartment project located on Binh Duong Boulevard, Thuan Giao Ward, Ho Chi Minh City. The project covers an area of 6,138.6 m² and comprises 40 floors with 688 apartments. The project has completed the investment policy, investor approval, and planning approval for 1,500 m². After acquiring ownership, Dicera Holdings plans to commence construction in December 2025.
This area also has the Hoa Lan urban project, a 50-hectare development by a unit of Kim Oanh Group, which includes land plots, townhouses, villas, shophouses, and apartments.
Tri Holdings Real Estate Investment Joint Stock Company was established on May 23, 2022, headquartered at Binh Duong Boulevard, Thuan Giao Ward, Ho Chi Minh City, with Mr. Tran Van Tri as its legal representative and operating in the real estate business.
Despite spending over 428 billion VND to acquire the project, as of September 30, 2025, Dicera Holdings' cash reserves were only 356.2 billion VND, lower than the capital expected to be spent on the transaction.
Regarding business results, in the first nine months of 2025, Dicera Holdings recorded revenue of VND 1,303.42 billion, an increase of 46.2% compared to the same period; after-tax profit was VND 141.09 billion, an increase of 45.3%. The gross profit margin increased from 21.1% to 26.3%.
In 2025, the company aims for revenue of VND 1,820 billion, a 64.5% increase; after-tax profit of VND 172 billion, a 42.8% increase compared to 2024; and a projected dividend rate of 10-15%. After nine months, the company has achieved 82% of its annual profit target.
